If you’re looking for a Garmin watch at a great price, the recent drops of the Forerunner 570 and 970 is excellent news—not because you should pick up those models (they’re fine, I guess) but because the older generations of Forerunner, which remain excellent watches, are now going for ludicrously low prices.

The previous models, the 265 and 965, are great, but you can go back one more generation to the 255 and 955—released in 2022—and save hundreds of dollars without sacrificing any major functionality. I truly can’t think of any fitness watch that is a better deal right now, given the prices we’re seeing on these two: currently $247 for the Forerunner 255, and $373 for the Forerunner 955, which is the upgraded version with maps and a few extra training features.

Why am I recommending three-year-old watches? I’ll get into the specs below, but the important context here is that Garmin’s Forerunners have serious longevity. Running app Strava releases year-end trend reports that consistently show older Forerunners among the nation’s and the world’s most popular running watches. The most recent report, for example, had the Garmin Forerunner 245 in third place, after the Apple Watch and Apple Watch SE. That’s a five-year-old watch. Not long ago, the Forerunner 235, then an eight-year-old watch, was the most popular worldwide. These things last!

What the 255 and 955 are missing compared to newer models (not much)

Forerunners 265S and 255

The numbered models can get confusing, but I promise you’ll be able to follow along. All the watches that start with a 9 are the top-of-the-line Forerunners (the 955 was replaced by the 965 and most recently the 970) and most of those came with a little sibling that starts with a 2 (respectively: the 255, 265, and in a break from tradition, 570).

The 9xx series have onboard maps that let you see exactly where you are and where you’re going. The 2xx watches have breadcrumb navigation that shows you the general shape of the route you’ve already taken. If you need a map on your wrist, you probably want to go for a 9xx.

I wrote about the newest models here, so you can see what the 970 has over the 965 (and what the 570 has over the 265). The big feature is that the 570 and 970 support voice calling and voice texts, and the 970 has a built-in LED flashlight. If those features aren’t must-haves for you, take a look at the next generation back.

The 265 and 965 are excellent watches with important functionality, like dual-band GPS. you can read my review of the 265 here:, and note that the 265 is my own personal running watch, the one that I bought with my own money because I love it. The 265 has a ton of great features for runners. Some are concrete and functional: physical buttons, lots of options for data screens, and a dual-band GPS for extra location accuracy. Others are more software-y but still arguably useful: training status, daily suggested workouts. The battery also lasts between one and two weeks, depending on how many workouts you do.

The 965 has all that, plus onboard maps, so you can see where you are relative to roads, bodies of water, and so on. It’s also got a few extra training statistics, like an endurance score and a heat acclimation score.

The 255 and 955 have all of these same features. The only features that are meaningfully different between the x55 and x65 series are:

  • The 255/955 have the older, always-on MIP screen, while the 265 has a smartphone-style AMOLED screen. I have more here on the difference between those screen types.

  • The 255/955 don’t have touchscreens. You’ll use the UP and DOWN buttons on the left side to scroll through options.

  • The 255 can’t store music, unless you buy the 255 Music version. The 955 has music storage built in, just like the 265 and 965 do.

  • The 255 doesn’t have Training Readiness, but it does have Training Status. (Personally, I never use Training Readiness, so this isn’t much of a loss. You can always look at your HRV trend, which the watch also reports, if you want a sense of how recovered you are each morning.) The 955, 265, and 965 all have Training Readiness.

For the detailed list of every minor feature that’s different between the two, you can check out this comparison page on Garmin’s site

Which Forerunner 255 version you should get

There is only one Forerunner 955, but there are four versions of the 255, and two versions of the 265.

  • The regular Forerunner 255 is the larger size (45.6 mm) and does not have music storage.

  • The Forerunner 255S is the smaller size (41 mm) and also does not have music storage.

  • The Forerunner 255 Music is the larger size (45.6 mm) and does have music storage, so you can play tunes from the watch while leaving your phone at home.

  • The Forerunner 255S Music is the smaller size (41 mm) with music storage.

Personally, I always have my phone with me when I run, so I’ve never found the standalone music feature very helpful. If you think you might use it, though, it’s normally a $50 upgrade, but currently only a $20 upgrade on the larger size of the watch.

What do you think so far?

To help you decide, the photo above shows the difference in screens between the AMOLED 265S (left) and MIP 255 (right). It also shows the size difference between the smaller and larger models; the 265S on the left is 41.7 mm, very close to the 255S at 41 mm.

How old is the 255, anyway?

The 255 is only one year older than the 265. They were released in 2022 and 2023, respectively. Before that, Forerunner releases tended to be three to four years apart. The quick turnaround between the 255 and 265 makes sense when you realize they’re basically the same watch with a different display.

So I wouldn’t expect a 255 to feel outdated anytime soon. The main question you need to ask yourself is: How do I feel about a MIP screen? I’ve written more about the difference between MIP and AMOLED here. MIP screens don’t light up, although they have a backlight that can come on automatically when you raise your wrist. At rest, they are “always on,” in the sense that they’re always displaying something, so you’ll never look down at a blank screen. They’re also brightly reflective in sunlight.

AMOLED screens are more like a smartphone screen, with glowing pixels, and watches typically turn off the display when you’re not using it to save energy. (You can enable an always-on setting, but it eats battery.) That said, the overall battery life on both watches is similar on default settings—14 days not counting activities for the 255, and 13 days for the 265.

Some people prefer the MIP screens, and if that includes you, this is a no-brainer: snag the 255 or 955. You can even get a refurbished version for $179.99, which makes this one of the cheapest Garmin watches in any line.

The bottom line (check prices)

Prices on Forerunners have been fluctuating lately, so I’m hesitant to give any dollar-for-dollar comparisons, but here’s what I’m seeing at the moment I write this. Officially, Garmin is selling the 255 and 265 for the same price, $349.99. The 955 and 965 are going for the same price, $499.99. At those prices, you might as well get the -65 version of whichever watch you prefer.

But over on Amazon, I’m seeing prices as low as $247 for the 255 and $373 for the 955. That means a 255 is the same price as the anemic Forerunner 165 (it’s OK as a budget watch, but it’s missing a lot of features that the 255/265 have) and the 955 is the same price as a 265! Check prices to see if these deals are still live by the time you read this, and ultimately decide based on features.

Even when you’re right there in the stadium, it can be challenging to keep up to speed with everything going on in a football match as a spectator.

Was that yellow card justified? How close was that shot on goal? Should that have been a penalty? These are all questions football fans will most likely have shouted out at one time or another.

But what if there was a way to get right into the action, as if you were standing on the football pitch itself, from the comfort of your own living room?

That’s where FootAR comes in. This free app, available on iOS and Google Play, overlays real-time data such as player statistics and game analytics onto a digital recreation of the football pitch using augmented reality.

Fans can analyse the most significant moments in a live game from multiple angles and enjoy an accompanying audio commentary. It’s a social experience too, with users able to vote in polls and share their favourite match moments.

Since its launch last year, the app has seen considerable success and a healthy number of downloads. Two notable Portuguese media organisations, GMG (Jornal de Notícias) and SportsMultimedia (VSports), have even gone so far as to integrate it into their broadcast coverage.

The app, which has been developed with co-funding from Portugal’s Recovery and Resilience Plan (PRR), was also recently recognised with the “Best Application of the Year” award at the VRAR Expo in China, highlighting FootAR’s appeal to audiences worldwide.

David Olim, CEO of FootAR – which is part of the eGames Lab consortium, a unique cluster of over 22 Portuguese companies and organisations focused on games development and the creative industries – recently chatted to PocketGamer.biz about where the inspirations for FootAR came from, what the award win meant to them, and plans for the future.

Pocketgamer.biz: What did winning “Best Application of the Year” at VRAR Expo China mean to you?

David Olim: Being recognised in the XR space is a strong endorsement of what we’ve built with FootAR. It reminded us that we’ve not just created something amazing, we’ve added value for fans and brought something fresh to the table. Quite literally, I’d argue, because we use the camera to place virtual objects.

“We set out not to distract from the game but to enhance it.”

David Olim

Getting this recognition from a competitive and tech-savvy market like China has also been a tremendous validation. It opens doors and shows that our product has global potential, helping us build key partnerships, attract local interest and better understand user behaviour in one of the world’s most advanced mobile ecosystems.

What helped FootAR stand out is how it naturally blends into the live sports viewing experience. We set out not to distract from the game but to enhance it.

Mixing real-time stats, interactive elements and personalised views over a live match created a unique synergy between viewer and content that has caught audiences’ attention commercially and professionally.

How has your membership as part of the eGames Lab consortium contributed to the success of FootAR?

Our affiliation with eGames Lab granted us access to some of the most brilliant minds in gaming and technology. Their expertise has helped us fine-tune our platform’s engagement mechanics, enabling us to create familiar yet innovative experiences for mobile users.

It has also opened up collaboration opportunities that would otherwise have been unavailable. As leaders in the immersive reality vertical at eGames Lab, we must remain at the forefront of this technology, as this demonstrates that we are on the right path as a consortium.

What inspired you and your team to create FootAR?

We were inspired by how people consume sports today, especially younger audiences who expect more control, interaction and personalisation. We saw a gap between traditional broadcasting and modern fan behaviour, and designed FootAR to make watching sports more dynamic and participatory.

For example, imagine you’re at the bar with your friends or have responsibilities that mean you can’t watch the match on TV for whatever reason.

When a team scores, FootAR sends a notification straight to your phone. When clicked, you get a visual representation of the player movements, ball trajectory, and more. With our AR feature, you can even reproject that moment from the match right in front of you.

What were some of your team’s biggest technical or design challenges while building FootAR?

One of the main challenges was designing a user interface that delivers rich, real-time data without cluttering or overwhelming the user’s environment.

“Casual fans use FootAR for quick and easy insights that make watching better without needing to do anything complicated. But hardcore fans go way deeper.”

David Olim

We had to devise ways to make live sports more exciting without taking people’s eyes off the action, while also considering that every user has different tastes. For example, we decided to include some humorous options to appeal to younger users, like the ability to substitute player avatars for panda-like characters.

Casual fans use FootAR for quick and easy insights that make watching better without needing to do anything complicated.

But hardcore fans go way deeper. They often look at detailed stats, personalised views and interactive elements to analyse the game as it’s happening. Historical data is also vital for them as they use it for multiple purposes, including generating informed live bets.

Ensuring consistent performance across different devices and network conditions was also important. But above all, we wanted to ensure that we created an exciting and intuitive experience with which fans of all ages want to engage.

Did you take any pointers from mobile games while designing FootAR?

Implementing gamification features so the user feels part of the action instead of being passive is central to the FootAR experience.

Examples of this gamified environment can be found on the XR version of our platform, where minigames pop up at specific times, with the purpose of fans finding specific objects in the 3D environment that award points for a leaderboard. Those kinds of activations are crucial to engagement.

What are the wider opportunities for FootAR’s technology, like licensing it to sports organisations, media companies, or game developers?

FootAR’s technology has much potential, and not just for live sports broadcasts. In the media, for example, the fact that FootAR generates the environment based on data rather than relying directly on a broadcast means they can offer views from any live event without the need to acquire multi-million-dollar licences.

“FootAR’s technology has much potential, and not just for live sports broadcasts.”

David Olim

Also, integrating these interactions into the iGaming environment can help create an emotional connection with people who might not otherwise engage with certain events.

Considering the rapid evolution of AR/VR, what are the biggest commercial challenges and opportunities you anticipate in the next few years?

AR and VR are moving fast, which is great, but also a challenge because we need to ensure the tech is easy to use and appeals to everyone.

There are also fantastic opportunities to team up with different industries and develop fresh and thrilling ways for users to have new experiences.

We’re passionate about creating solutions that can evolve and adapt as this fast-changing market keeps shifting and being improved by the ever-evolving hardware. It’s an exciting time to be in this space.

Finally, what’s next for FootAR ?

For one, we’re launching a special edition of FootAR tailored for the 2025 FIFA Club World Cup.

We’ll collaborate with the biggest media in Portugal to enhance this tournament by generating a live 3D replica of the events available on the clients’ ecosystem, including online media and TV. We’re pretty excited to grow this interaction from specific tournaments to make this a new sports standard.

We’re also exploring how FootAR can cover multiple sports alongside football. This is being made possible thanks to not only the environment we create as a business but also to the partnerships we have in place.

These include collaborating with the number one sports data platform provider, which guarantees we can deliver data safely and reliably to our user base.

  • Yes, Samsung is considering a premium subscription tier for Samsung Health
  • This is no rumor – it was confirmed in an interview with Samsung’s Head of Digital Health
  • Advanced coaching features would be included free in new watches, while being locked behind a paywall for older models

In these cash-strapped times, none of us enjoy paying more than we have to. When our best streaming service prices go up, we grumble, even though more films and TV are added all the time.

Likewise, if we buy a device such as one of the best smartwatches, and previously we’ve been able to use all its features for free, we don’t like being charged a monthly subscription for future ones.

This is a strategic move for 4iiii. They are “hoping it reinforces the growing importance of power measurement for mountain bikers seeking to optimize their performance”.

There’s no doubt that mountain biking is one of cycling’s most demanding disciplines. When grinding up a steep climb, you need to put out a bare minimum of power to crest the summit. When training with a power meter, riders can climb more efficiently. This leads to less fatigue, greater focus, more enjoyment, and ultimately, more downhill payoffs.

4iiii PRECISION 3+ & 3+ PRO XTR full cranks

With the launch of the new Shimano XTR, 4iiii wanted to offer its “industry-leading” power solutions as a seamless Factory Install option in North America.

The service integrates a left side, or dual power meter, onto the new XTR M9200 crankset. This provides a durable and highly accurate power measurement solution.

Plus a New Look

The release also introduces a refreshed 4iiii power meter design. It features a user-friendly battery cap that is engineered to comply with new safety laws, while still providing the same reliable, accurate data you’ve come to expect from 4iiii.

The demand for power data in mountain biking has exploded, and for good reason. This is evident in both our aftermarket demand and from OEMs seeking power meters on Shimano-equipped mountain bikes,” says Phil White, CEO of 4iiii Innovations. “Understanding your power output on the trail transforms training from guesswork to science. Our PRECISION 3+ Powermeter, which is now available as a Factory Install on the new Shimano XTR M9200, offers +/- 1% accuracy, an incredible 800 hours of battery life, and integrated Apple Find My technology. This gives mountain bikers the precision, durability, and peace of mind they need to push their limits on any trail.”

The event welcomed over 6,500 attendees and put a clear focus on the future of sports.

Sports Summit Madrid 2025 wrapped up its first edition today after two intense days of activity at IFEMA Madrid, establishing itself as one of the major global forums in the sports industry. With more than 6,500 attendees, 200 brands, 150 speakers, and a packed agenda filled with knowledge and innovation, the event laid the groundwork for rethinking the present and building the future of the sports ecosystem.

The closing day was marked by strategic conversations around sustainability, equality, public policy, digital transformation, and financing, with key figures from the world of sports — such as Carolina Marín, Saúl Craviotto, and Laura Gil — as well as public institutions, clubs, federations, and tech companies.

Sustainability, Equality, and Development

One of the main themes of the day was gender equality in sports. As part of the HER program led by SSM, female leadership was discussed with inspiring figures like Theresa Zabell (former Olympic champion), María Guadalupe Benzal (Director of International and Commercial Expansion at MADCUP), and Patricia Almazán (CaixaBank).

Another panel focused on sports tourism, featuring representatives from UN Tourism, the Government of Nayarit (Mexico), and the Region of Murcia, who discussed how sport can drive sustainable territorial development and generate positive social impact.

Sustainability was a central focus of the second day, with talks such as the one led by Filippo Veglio (UEFA), addressing sustainability in European football — including governance, climate action, diversity, and gender equality. These discussions took place under the umbrella of the Ibero-American Forum on Sport, Inclusion and Sustainability (FIDIS), held at the Ágora stage.

Technology and Innovation

Innovation applied to sports and fan experience took center stage, with panels on sportainment, digital engagement, gaming, YouTube & sports, and the rising role of eSports in both entertainment and performance.

Global brands like Heineken, YouTube, Visa, Nielsen, 360Player, and the NBA shared their strategies for connecting with new audiences and reshaping their role within the sports ecosystem. On the main stage, the international vision of the Saudi Pro League was presented as part of the Vision 2030 strategy, with a keynote by Abdulaziz Albaqous, Director of International Relations at the Saudi Olympic and Paralympic Committee.

Investment and the Future of Sport

One of the key moments of the second day was the panel “Beyond the 90 Minutes”, featuring leaders from the Saudi Pro League, Italy’s Serie A (Enrico Casiraghi), and Sportian (Alejandro Scannapieco), who discussed how leagues are transforming into global entertainment platforms.

Discussions also centered on the new professional profiles demanded by the sports industry and how to move toward sustainable financing, with insights from experts such as José Mayo (CaixaBank), Rafael Lambea (CREA SGR), and Jaime Gross (ASOMED / FNEID).

There were also panels dedicated to specific sports, such as rugby — with the presence of Alan Gilpin (World Rugby) and Juan Carlos “Hansen” Martín (RFER) — and aquatic sports, led by Brent Nowicki (World Aquatics), who explored trends and opportunities in the discipline. A special session also addressed the challenges of federative football in Spain, with speakers from RFEF and regional leagues.

Legendary Voices

The day concluded with a roundtable featuring iconic sports figures Carolina Marín (badminton), Saúl Craviotto (canoeing), and Laura Gil (basketball), who shared personal stories and their perspectives on the role of athletes in society.

A Launchpad for the Future

With a cross-cutting, multi-sector, and international approach, Sports Summit Madrid successfully closes its first edition having fulfilled its goal of becoming a platform for connection, reflection, and action for all players in the global sports ecosystem.

The organization is already working on a new edition for 2026, with the ambition to continue driving the transformation of an ever-evolving industry.

Penn shareholder meeting highlights dispute over board members that is also the focus of a federal lawsuit by HG Vora.

For a gambling-industry event as hyped as any shareholders gathering since the historic PASPA decision, Penn Entertainment’s annual shareholder meeting on Tuesday largely failed to bring the sizzle.

As expected, Penn shareholders elected Johnny Hartnett and Carlos Ruisanchez to the gaming company’s board of directors as part of a continued reshuffling of the board. Their additions were sought by HG Vora Capital Management, a top Penn shareholder.

But Penn did not consider the nomination of William Clifford, a third independent director sought by HG Vora. Clifford’s nomination represents a key sticking point in contentious discussions regarding the future composition of the board.

At the conclusion of the 10-minute, 30-second meeting, Penn CEO Jay Snowden announced the election of Hartnett and Ruisanchez, based on the preliminary results of the vote. But without a resolution to Clifford’s nomination, the brief meeting ended on an anti-climactic note. As a court hearing in HG Vora’s lawsuit against Penn over board seats approaches next month, the meeting arguably produced more questions than answers.

Penn: Nomination of Clifford ‘out of order’

Speaking on behalf of HG Vora, a New York-headquartered hedge fund, Mandy Lamb put forth Clifford’s nomination at Tuesday’s meeting. Clifford has deep experience with Penn, where he formerly served as the company’s chief financial officer for nearly 13 years. He left the company in November 2013, seven years before Snowden’s appointment as CEO, to join Gaming Leisure and Properties.

Snowden abruptly dismissed Lamb’s proposal, immediately quashing any possibility for the election of a third director. Pursuant to Penn company bylaws, the board set the number of Class II directors at two, Snowden stated. He deemed a proposal to nominate a third director as “out of order” and not permissible.

The proxy battle on board composition has been the subject of an intense months-long dispute between Penn and the hedge fund. Since his departure, Clifford subsequently interviewed with Penn for a position on the board in 2020.

Penn indicated that it still has some of the same concerns on Clifford’s expertise in digital gambling that it raised five years ago. In a May letter to shareholders, Penn asserted that Clifford lacked digital gaming and online sports betting experience, areas that are “essential to the future” of its business.

Federal lawsuit

In May, HG Vora filed a lawsuit against Penn accusing the company of violating Pennsylvania Business Corporation law. The suit also accuses Penn of breaching its fiduciary duty by reducing the number of seats available on the board. In response, Penn filed a motion to stay, urging a Pennsylvania court to temporarily halt legal proceedings. According to Penn, the merits of HG Vora’s claim do not “constitute good cause”.

In addition, Penn argued that the plaintiffs have not established likelihood of “imminent and irreparable harm”. There, Penn addressed HG Vora’s arguments on board composition. Speculation about a future board action cannot constitute “good cause”, Penn contends. A speculative matter is not even a dispute ripe for adjudication, Penn added, because it rests upon contingent future events that may not occur as anticipated, or may not occur at all.

Penn also criticised HG Vora for its failure to abide by disclosure standards in other instances. The Securities and Exchange Commission announced a $950,000 settlement with the fund in March 2024 for its failure to make timely ownership disclosures in the lead-up to a May 2022 acquisition bid for trucking fleet company Ryder System Inc.

According to the SEC, HG Vora disclosed that it owned 5.6% of Ryder’s common stock as of 31 December 2021 and certified that it did not have a control purpose. The fund subsequently built its position to a 9.9% stake in the first half of 2022 and formed a control purpose in May of that year. However, HG Vora did not make the proper disclosures until 13 May 2022, the same day it made a proposal to buy all of Ryder’s shares for $86 a share, a sizeable premium over the trading price.

HG Vora trots out the Gold card

Ahead of Tuesday’s meeting, HG Vora urged shareholders to vote using its “gold card,” which featured the nominations of all three directors. By noon on Tuesday, more than 55% of all votes cast in the election were submitted on the gold cards, HG Vora wrote in a statement.

At the same time, HG Vora claimed that approximately five of Penn’s top 30 institutional investors voted on the company’s white proxy card, based on preliminary tabulations from the fund’s proxy solicitor, Okapi Partners.

“Penn’s shareholders have voted overwhelmingly for genuine change, including for the election of William Clifford to the board,” said Parag Vora, founder of HG Vora. “There can be no mistake about the mandate from Penn’s shareholders that the status quo is simply unacceptable.”

Institutional ownership

The nasty proxy battle may serve as an example for major sportsbook operators on how to handle disputes from activist investors. In a memo issued by Penn Entertainment last month, the company claimed that HG Vora violated several institutional investor waivers in which they agreed to remain passive in their activities. Furthermore, Penn asserted that the fund pushed for governance changes despite express prohibitions on doing so by state gaming regulators.

For its part, the hedge fund retorted that it does not consider itself to be an activist investor. To buttress its point, attorneys for HG Vora wrote in the suit that the Penn nominations marked the first time in the 16-year history of the fund that it nominated director candidates for a company in its portfolio. Over that span, HG Vora has invested in hundreds of firms.

In a Schedule 13D filing with the SEC issued on 28 December 2023, HG Vora disclosed an ownership stake of approximately 9.6% of Penn’s outstanding common stock. By the following December, representatives for the fund appeared in Massachusetts for a licensing hearing. According to the lawsuit, HG Vora contends that it sought an emergency hearing with the Massachusetts Gaming Commission (MGC) in order to obtain a gaming licence or limited relief in Massachusetts to be in a position to nominate candidates to the Penn board.

Reduced holdings

After the MGC denied HG Vora’s request for relief, the fund decided to shave its holdings in Penn for licensing purposes. Weeks later, HG Vora disclosed in a 13D filing that the fund reduced its ownership in the company’s common stock by approximately half to 7.25 million shares, representing an equity stake at the time of 4.8%.

According to TipRanks.com, a leading market research website, there is considerable institutional ownership in Penn, with 86.7% of shares held by institutional investors.

Beyond HG Vora, three others maintain a stake of at least 4%, led by iShares which tops the list at 11.4%.

Speaking on the sidelines of Wednesday’s Canadian Gaming Summit, Canadian Gaming Association CEO Paul Burns told iGB that the gaming industry is “in a fascinating spot” at the moment. He was responding to a question on how the Penn matter can become a template for other proxy battles throughout the industry.

One avenue to explore surrounds the mix of private equity investment. As Burns points out, the shift could be interesting since the private equity community maintained a relatively low appetite for sportsbook operators before PASPA.

Investment into digital gaming

Before Penn’s foray into online sports betting, HG Vora lauded the company for its execution on the retail gaming side. The fund pointed to Penn’s financial results in the second quarter of 2015, a period where Penn delivered a strong balance sheet favourable by industry standards in terms of net debt leverage and interest coverage.

Its criticism, however, centres on Penn’s spending habits in growing its digital gaming business. Penn is in the middle of a 10-year, $1.5 billion deal with the Walt Disney Co that led to the launch of ESPN BET.

The August 2023 partnership was announced on the same day that Penn sold Barstool Sports back to Dave Portnoy for $1. In total, Penn had spent in excess of $400 million to purchase Barstool.

A major purchase, eh?

With the Disney deal, Penn essentially swapped Barstool Sportsbook for ESPN BET as its front-facing sportsbook brand. At the time, Snowden had ambitions to hit 20% online sports betting market share by the end of 2027. But as the two-year anniversary of the deal nears, ESPN BET’s nationwide market share still hovers in the low single digits. The deal also came on the heels of Penn’s acquisition of Score Media and Gaming Inc for approximately $2.1 billion.

TheScore, a digital media, sports betting and technology company, is one of the most popular sports apps in Canada. At Wednesday’s conference, Burns gave theScore high marks for its tech platform.

Others, though, have questioned the cost of the Score acquisition, considering other subsequent deals such as Fanatics purchasing PointsBet’s US assets for $150 million. An industry tech consultant speaking to iGB on condition of anonymity this week believes Penn could have waited for valuations to moderate, noting that “timing is half of everything”.

An inflection point?

In attempts to grow its online business, Penn may spend at least $4 billion, HG Vora estimates. Both Penn and ESPN have an opt-out at the end of the third year, which Snowden noted could be exercised by either company if they believe ESPN BET has underperformed. HG Vora has advised Penn to abandon its online division. Based on comments from Snowden on a recent earnings call, such a move appears to be a longshot at best.

“Our digital business continues to evolve, supported by our well-known brand-differentiated IP, a fully owned technology stack and newly recruited, industry-leading talent,” said Snowden on Penn’s first-quarter earnings call. “We are nearing an inflection point.”

Penn is also bullish on a new initiative that enables customers to link their accounts between ESPN BET and the main ESPN app. The features combined with the rollout of ESPN’s new streaming service have Penn Chief Technology Officer Aaron Laberge intrigued by the “bespoke integrations” he said will be unique to the market. ESPN BET will look to the football season to provide customers with new personalised offerings that integrate their sports betting and fantasy sports selections with a quick thumbprint.

Despite Penn’s financial challenges, it is important to remember that top gambling names are valued in many cases as Software-as-a-Service (SaaS) stocks. Stocks in the class are long-dated, high-growth companies in the tech sector. Amazon, for instance, took years to first turn a profit. Nevertheless, questions remain if investors such as HG Vora will exercise enough patience before attempting to execute major change.

Executive compensation

For HG Vora, executive compensation is a major point of contention. In April 2021, Penn’s board awarded Snowden supplemental equity grants worth nearly $200 million keyed to certain price targets, according to HG Vora. Those grants have incentivised Penn’s attempts to grow Penn’s digital business without exercising enough financial restraint, the fund contends.

Snowden’s compensation of $26.7 million in 2024 ranked second-highest for CEOs among a group of approximately a dozen peer companies, according to HG Vora. Penn, however, disputed some of the findings.

Snowden’s realisable pay represents only 45% of his reported compensation and is in the bottom quartile relative to the company’s proxy peer group, the company wrote in the memo. Snowden has only exercised expiring options and has not sold any stock since 2021. Moreover, the transactions were only conducted to cover the strike price and taxes, according to Penn.

Next steps

Since 2020, Penn executives and directors have purchased over $5.7 million worth of stock in the open market using their personal funds, including $2.8 million by Snowden. Of the amount, Snowden made $1.5 million in purchases over the last 10 months, according to Penn.

The insider activity may not assuage the fund. In 2024, the Institutional Shareholder Services gave Penn a score of -100 on its “Pay-For-Performance” evaluation, a comparatively low rating that reflects high pay for low performance, according to HG Vora.

Meanwhile, share advisory service Glass, Lewis & Co gave Penn low marks for compensation levels relative to performance against its peers. More than 60% of the votes cast in the election were against Penn’s Say-On-Pay proposal, according to HG Vora.

Penn did not respond to a request from iGB for comment.

On 10 July at the federal courthouse in Easton, Pennsylvania, Penn and HG Vora have a case management conference scheduled in the fund’s lawsuit.

On Nasdaq on Wednesday, Penn closed at $17.28 a share, up nearly 5% on the session. Shares in Penn are down sharply since hitting an all-time high of $142 in March 2021
